1. GENERAL PROHIBITIONS:

1.1 You may not post or sell any item that is restricted or prohibited by a federal, state or local law in any country or jurisdiction. Please be aware that the www.itradesecurity.com functions as a global marketplace, thus the selling or posting of items may be prohibited because of laws outside of the jurisdiction where you reside. Below, we have listed some categories of prohibited or restricted items. However, this list is not exhaustive; you, as the seller, are responsible for ensuring that you are not posting an item that is prohibited by law in any jurisdiction.

1.2 Itradesecurity.com has chosen to also prohibit the posting of other categories of items which may not be restricted or prohibited by law but are nonetheless controversial including:

• Items that encourage illegal activities;
• Items that are racially, religiously or ethnically derogatory, or that promote hatred, violence, racial or religious intolerance;
• (Giveaways, lotteries, raffles, or contests;
• Stocks, bonds, investment interests, and other securities;
• Pornographic materials or items that are sexual in nature;
• Items that do not offer a product or service for sale, such as advertisements solely for the purpose of collecting user information.

1.3 Itradesecurity.com, in its sole and exclusive discretion, reserves the right to impose additional restrictions and prohibitions.

2. EVENT TICKET RESALE POLICY

2.1 Itradesecurity.com allows the listing of tickets to performance, sporting and entertainment events to the extent permitted by law. However, as a ticket seller, you are responsible for ensuring that your particular transaction does not violate any applicable law or the terms on the ticket itself

3. FIREARMS, AMMUNITION, WEAPONS

3.1 The posting of, offering for sale, or offering for purchase of any arms, ammunitions, military ordnance, weapons (including explosive weapons), and/or any related parts or accessories is strictly prohibited. Such activity can result in your account being delisted.

3.2 Itradesecurity.com does not permit the posting, offering for sale, or offering of purchase of air guns, BB guns, paintball guns, stun guns, harpoons, spear guns, or any other weapons that may discharge a projectile containing any gas, chemicals, or explosive substances. Replica, "look-alike", and imitation products of the above items under certain circumstances will be permitted only upon the express approval of Itradesecurity.com.

3.3 Any servicing, instruction, processing, or aid of producing any biological, chemical, or nuclear weapons, or any other Weapons of Mass Destruction (WMD) or its known associated agents is strictly prohibited by international law and is accordingly prohibited on the Site. Any violation of this policy will result in the notification of government authorities by Itradesecurity.com and your account being delisted.

3.4 Knives and other cutting instruments will in most cases be permitted to be listed. Switchblade knives, gravity knifes, knuckledusters (bladed or not), bladed hand-held devices, and disguised knives are not permitted to be listed. Itradesecurity.com maintains discretion over what items are appropriate and may cause removal of a listing that it deems as a weapon.

4. Government IDs, Licenses and Uniforms

4.1 The following items may not be listed on the Site:

• Items that claim to be, or appear similar to, official government identification documents or licenses, such as birth certificates, drivers licenses, visas or passports. Furthermore, completed applications for such documents containing personal information may not be listed.
• Fake identification cards or any items that are designed for the manufacture of such cards.
• Articles of clothing or identification that claim to be, or appear similar to, official government uniforms.

5. HAZARDOUS AND DANGEROUS MATERIALS

5.1 The posting, offering for sale, or offering for purchase of hazardous or dangerous materials (such as the categories of dangerous goods as defined under the International Maritime Dangerous Goods Code) is forbidden on the Site.

5.2 The posting of any products containing harmful substances (e.g. toys containing lead paint) is forbidden on the Site.

5.3 Automotive airbags are expressly forbidden on the site due to containing explosive materials.

5.4 Asbestos materials and/or products containing asbestos are prohibited.

6. NON-BUSINESS INFORMATION

6.1 Itradesecurity.com is an online business to business information platform; personal and non-business information is prohibited.

7. POLICE-RELATED ITEMS

7.1 The posting of law enforcement badges or official law enforcement equipment from any public authority, including badges issued by the government of any country, is strictly prohibited.

7.2 There are some limited police items that may be listed on our site, provided they observe any noted guidelines:

• Authorized general souvenir items, such as hats, mugs, pins, pens, buttons, cuff links, T-shirts, money clips that do not resemble badges, and paperweights that do not contain badges.
• Badges that are clearly not genuine or official (e.g. toy badges).
• Historical badges that do not resemble modern law enforcement badges, provided that the item description clearly states that the badge is a historical piece at least 75 years old or issued by an organization which no longer exists.

7.3 Police uniforms may be posted provided that they are obsolete and in no way resemble current issue police uniforms. This fact must be clearly stated within the posting description.

8. UNAUTHORIZED COPIES OF INTELLECTUAL PROPERTY

8.1 The listing or sale of unauthorized (pirated, duplicated, backup, bootleg, etc.) copies of software programs, video games, music albums, movies, television programs, photographs or other protected works is forbidden on the Site.

9. STOLEN PROPERTY

9.1 The posting or sale of stolen property is strictly forbidden on the Site, and violates international law. Stolen property includes items taken from private individuals, as well as property taken without authorization from companies or governments.

9.2 Itradesecurity.com supports and cooperates with law enforcement efforts involving the recovery of stolen property and the prosecution of responsible individuals. If you are concerned that the images and/or text in your item description have been used by another Site user without your authorization, or that your intellectual property rights have been violated by such user, please contact our service team at [email protected].

10. REPLICA AND COUNTERFEIT ITEMS

10.1 Listing of counterfeits, non-licensed replicas, or unauthorized items, such as counterfeit designer garment, watches, handbags, sunglasses, or other accessories, is strictly prohibited on the Site.

10.2 If the products sold bear the name or logo of a company, but did not originate from or were not endorsed by that company, such products are prohibited from the Site.

10.3 Postings of luxury brand products are permitted if a certificate of authorization has been issued by the luxury brand owner.

10.4 Postings offering to sell or purchase replicas, counterfeits or other unauthorized items shall be subject to removal by Itradesecurity.com. Repeated postings of counterfeit or unauthorized items shall result in the immediate suspension of your membership.

11. CIRCUMVENTION DEVICES AND HACKING EQUIPMENT

11.1 Descramblers or other items that can be used to gain unauthorized access to television programming (such as satellite and cable TV), internet access, telephone, data or other protected, restricted, or premium services are prohibited. Stating the item is for educational or test purposes will not legitimize a product that is otherwise inappropriate. Some examples of items which are not permitted include smart cards and card programmers, descramblers, DSS emulators and hacking software.

11.2 Similarly, information on "how to" descramble or gain access to cable or satellite television programming or other services without authorization or payment is prohibited. Itradesecurity's policy is to prohibit any encouragement of this type of activity.

11.3 Devices designed to intentionally block, jam or interfere with authorized radio communications, such as cellular and personal communication services, police radar, global positioning systems (GPS) and wireless networking services (Wi-Fi) are prohibited.

1. Acceptance of Terms

1.1 WELCOME TO ITRADESECURITY.COM'S FREE SERVICE (the "SERVICE"). The following sets forth the terms and conditions of the Itradesecurity.com Free Membership Agreement (this "Agreement") between you and an ITRADESECURITY company ("ITRADESECURITY.com") under which Itradesecurity.com offers you access to the Service through the web site identified by the uniform resource locator www.itradesecurity.com (the "Site"). Use of the Service indicates that you accept the terms and conditions set forth below. If you do not accept all of the terms and conditions, please do not use the Service. BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "I AGREE" BUTTON, YOU ARE INDICATING YOUR CONSENT TO BE BOUND BY THIS AGREEMENT, THE SITE’S TERMS OF USE AGREEMENT, PRODUCT LISTING POLICY AND PRIVACY POLICY WHICH ARE INCORPORATED HEREIN BY REFERENCE (COLLECTIVELY REFERRED TO AS THE " TERMS OF USE"). The Itradesecurity.com Free Membership Agreement will not take effect unless and until you have activated your Account. Terms not defined in this Agreement shall bear the same meaning as that contained in the Terms of Use.

1.2 Itradesecurity.com may amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended and restated Agreement shall be effective immediately upon posting. This Agreement was last amended on October 1, 2014. Posting by Itradesecurity.com of the amended and restated Agreement and your continued use of the Service shall be deemed to be acceptance of the amended terms. This Agreement may not otherwise be modified except in writing by an authorized officer of Itradesecurity.com.

2. The Service

2.1 The Service will be offered free-of-charge for an unspecified time period unless terminated in accordance with the terms of this Agreement.

2.2 The Service will have features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of Itradesecurity.com and notified to you) ("Free Member Benefits"):

2.3 Itradesecurity.com may terminate all or part of the above Free Member Benefits at any time in its sole discretion. Itradesecurity.com reserves the right to charge for the Service at any time in its sole discretion.

2.5 Itradesecurity.com shall issue a Member ID and Password (the latter shall be chosen by the Member during registration) to each Member to access the Service through such Member's Account. Each Member shall be solely responsible for maintaining the confidentiality of its Member ID and Password and for all activities that occur under the Member ID and Password. A set of Member ID and Password is unique to a single Account and no Member shall share, assign or permit the use of its Account, Member ID or Password to another person outside of the Member's business entity. Each Member acknowledges that sharing of its Account with other persons, or allowing multiple users outside of its business entity to use its Account (collectively, "multiple use"), will cause irreparable harm to Itradesecurity.com and each Member shall indemnify Itradesecurity.com against any loss or damages (including but not limited to loss of profits) suffered by Itradesecurity.com as a result of such multiple use of an Account. Each Member hereby undertakes to notify Itradesecurity.com immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security. Each Member hereby agrees that Itradesecurity.com shall not be liable for any loss or damages arising from the Member's failure to comply with this paragraph.

2.6 Itradesecurity.com reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. Itradesecurity.com further reserves the right to introduce new features, functionalities or applications to the Service or to future versions of the Service. All new features, functionalities, applications, modifications, upgrades and alterations shall be governed by this Agreement, unless otherwise stated by Itradesecurity.com.

2.7 Each Member acknowledges that inability to use the Service wholly or partially for whatever reason may have adverse effects on its business. Each Member hereby agrees that in no event shall Itradesecurity.com be liable to the Member or any third parties for any inability to use the Service (whether due to disruption, changes to or termination of the Service or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission or delivery of all or any part thereof, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Service.

3. Member Responsibilities

3.1 Each Member hereby represents, warrants and agrees to (a) provide true, accurate, current and complete information about itself and its business references as may be required by Itradesecurity.com and (b) maintain and promptly amend all information to keep it true, accurate, current and complete. Each Member hereby grants an irrevocable, perpetual, worldwide and royalty-free, sublicensable (through multiple tiers) license to Itradesecurity.com to display and use all information provided by such Member in accordance with the purposes set forth in this Agreement and to exercise the copyright, publicity, and database rights you have in such material or information, in any media now known or not currently known.

3.2 Each Member hereby represents, warrants and agrees that the use by such Member of the Service and the Site shall not:

• contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;
• be part of a scheme to defraud other Members or other users of the Site or for any other unlawful purpose;
• infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy or other legitimate rights;
• impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;
• violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• contain information that is defamatory, libelous, unlawfully threatening or unlawfully harassing;
• contain information that is obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;
• promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation;
• involve attempts to copy, reproduce, exploit or expropriate Itradesecurity.com's various proprietary directories, databases and listings;
• involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information; and
• involve any scheme to undermine the integrity of the computer systems or networks used by Itradesecurity.com and/or any user of the Service and no Member shall attempt to gain unauthorized access to such computer systems or networks;
• link directly or indirectly to or include descriptions of goods or services or other materials that violate any law or regulation or are prohibited under this Agreement or the Terms of Use; or
• otherwise create any liability for Itradesecurity.com or its affiliates.

3.3 Each Member represents, warrants and agrees that with regards to information about or posted on behalf of any business referee, it has obtained all necessary consents, approvals and waivers from its business partners and associates to (a) act as such Member's business referee; (b) to post and publish their contact details and information, reference letters and comments on their behalf; and (c) that third parties may contact such business referees to support claims or statements made about the Member. Each Member further warrants that all reference letters and comments are true and accurate and hereby waives all requirements for such Member's consent to be obtained before third parties may contact the business referees.

3.5 Each Member acknowledges and agrees that Itradesecurity.com shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or other material or information created, obtained or accessible through the Service. Itradesecurity.com does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

3.6 Each Member represents, warrants and agrees that it has obtained all necessary third party licenses and permissions and shall be solely responsible for ensuring that any material or information it posts on the Site or provides to Itradesecurity.com or authorizes Itradesecurity.com to display does not violate the copyright, patent, trademark, trade secrets or any other personal or proprietary rights of any third party or is posted with the permission of the owner(s) of such rights. Each Member further represents, warrants and agrees that it has the right and authority to sell, distribute or offer to sell or distribute the products described in the material or information it posts on the Site or provides to Itradesecurity.com or authorizes Itradesecurity.com to display.

3.7 If any Member breaches the representations, warranties and covenants of paragraphs 3.1, 3.2, 3.3, , 3.5 or 3.6 above, or if Itradesecurity.com has reasonable grounds to believe that such Member is in breach of such representations, warranties and covenants, or if upon complaint or claim from any third party, Itradesecurity.com has reasonable grounds to believe that such Member has willfully or materially failed to perform its contract with such third party including without limitation where the Member has failed to deliver any items ordered by such third party after receipt of the purchase price, or where the Member has delivered the items that materially fail to meet the terms and descriptions outlined in its contract with such third party, Itradesecurity.com has the right to suspend or terminate the Service and all Free Member Benefits with respect to such Member without any compensation, and refuse any and all current or future use of the Service or any other services that may be provided by Itradesecurity.com. Further, Itradesecurity.com reserves the right in it sole discretion to remove any material it reasonably believes that is unlawful, could subject Itradesecurity.com to liability, violates this Agreement or the Terms of Use or is otherwise found inappropriate in Itradesecurity.com's opinion. Itradesecurity.com reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, Itradesecurity.com may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action, and Itradesecurity.com shall not be liable for damages or results thereof and Member agrees not to bring any action or claim against Itradesecurity.com for such disclosure. In connection with any of the foregoing, Itradesecurity.com may suspend or terminate the Account of any Member as Itradesecurity.com deems appropriate in its sole discretion.

3.8 Each Member agrees to indemnify Itradesecurity.com, its employees, agents and representatives and to hold them harmless, from any and all losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from its submissions, posting of materials or deletion thereof, from such Member's use of the Service or from such Member's breach of this Agreement or the Terms of Use. Each Member further agrees that Itradesecurity.com is not responsible, and shall have no liability to it or anyone else for any material posted by such Member or third parties, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member. Itradesecurity.com reserves the right; at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with Itradesecurity.com in asserting any available defenses.

4. Transactions between Buyers and Suppliers

4.1 Through the Site, Itradesecurity.com provides an electronic web-based platform for exchanging information between buyers and suppliers of products and services. Itradesecurity.com does not represent the seller nor the buyer in specific transactions and does not charge any commissions from completing any transactions. As a result, Itradesecurity.com does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Site or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.

4.2 Members are hereby made aware that there may be risks of dealing with people acting under false pretences. Itradesecurity.com uses several techniques to verify the accuracy of the information our users provide us when they register on the Site. However, because user verification on the Internet is difficult, Itradesecurity.com cannot and does not confirm each user's purported identity (including, without limitation, verified Members and Gold, Silver and Bronze Suppliers). We encourage you to use the various tools available on the Site, as well as common sense, to evaluate with whom you are dealing.

4.3 Each Member acknowledges that it is fully assuming the risks of purchase and sale transactions when using the Site to conduct transactions. Such risks shall include, but not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents ("Transaction Risks"). Each Member agrees that Itradesecurity.com shall not be liable or responsible for any damages, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

4.4 Members are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Site, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

4.5 In the event that any Member has a dispute with any party to a transaction, such Member agrees to release and indemnify Itradesecurity.com (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

5. Use of Discussion Board on Website

5.1 Each Member acknowledges that all data, text, software, music, sound, photographs, graphics, video, messages or other materials ("content"), whether publicly posted or privately transmitted through a discussion board on the Site, are the sole responsibility of such Member from whom the content originated. This means that the posting Member, and not Itradesecurity.com, is entirely responsible for all content that is uploaded or posted via our discussion boards on the Site. Itradesecurity.com does not control the content posted via discussion boards and therefore does not guarantee the accuracy, integrity or quality of such content.

5.2 Itradesecurity.com reserves the right to delete or edit any postings in its sole discretion without prior notice. Itradesecurity.com may monitor posting activities of any Member who is in breach of this Agreement and may restrict their ability to post messages on the discussion boards on the Site. Under no circumstances will Itradesecurity.com be liable in any way for any content, including (without limitation) any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of the discussion boards by such Member. Each Member agrees to evaluate and bear all risks associated with the use of any content including any reliance on its accuracy or completeness. Each Member understands that by using the Itradesecurity.com discussion boards on the Site, such Member may be exposed to content that is offensive, indecent or objectionable.

5.3 Without prejudice to each Member's responsibilities under Clause 3 of this Agreement, each Member agrees not to use the discussion boards on the Site to:

• upload, post or e-mail any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• harm minors in any way;
• impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity or disguise the origin of any content;
• "stalk" or otherwise harass another;
• collect or store personal data about other users;
• upload, post or e-mail any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships;
• upload, post or e-mail any content that infringes any intellectual property rights or other legitimate rights of any party;
• upload, post or e-mail any unsolicited or unauthorised advertising, promotional materials, "junk mail", "spam", "chain letters", or any other form of solicitation;
• upload, post or e-mail any content that contains computer viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment;
• upload, post or e-mail any content that contains a complaint regarding Itradesecurity.com's services or refers to such a complaint on the Site or to any other Members; any such complaint must be directed to the customer service e-mail on the Site; or
• violate any applicable national or internal laws or regulations.

5.4 Each Member acknowledges that Itradesecurity.com does not pre-screen content but that Itradesecurity.com shall have the right (though not the obligation) in its sole discretion to move, modify or remove any content that is posted or uploaded on the discussion boards on the Site.

5.5 Each Member grants to Itradesecurity.com a perpetual, world-wide, royalty-free irrevocable, non-exclusive licence (including the right to sub-license through multiple tiers) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any content (in whole or part) such Member uploaded, posted or e-mailed and/or to incorporate such content in other works in any form, media or technology now known or developed.

5.6 Each Member shall indemnify and hold Itradesecurity.com and its subsidiaries, affiliates, employees, officers, agents or partners harmless from and against any direct or indirect loss or damage (including consequential loss and loss of profits, goodwill or business opportunities) arising from any third party claim in relation to any content such Member uploaded, posted or e-mailed on or through the discussion boards on the Site, such Member's use of the discussion boards on the Site, or such Member's breach of the provisions set out in Clause 5.4.

5.7 On being made aware of any such breaches, Itradesecurity.com may ban, delete or prohibit any content that relates to those breaches or that Itradesecurity.com in its sole discretion consider to be harmful to the public or the rights of Itradesecurity.com or any of its affiliates, licensors, partners or Members.

5.8 Itradesecurity.com reserves the right to take whatever action it deems necessary to prevent a Member's breach of Clause 5.4 including the following:

• Issue a warning letter to the relevant Member (where the breaches are deemed by Itradesecurity.com to be minor)
• All incidents will be logged and Itradesecurity.com's decision shall be final in all such cases.

5.9 All information and/or other content posted on the Site by the Itradesecurity.com service team or by Members or third party partners is supplied for information purposes only and shall not under any circumstances be construed as legal and/or business advice or a legal opinion. Members are encouraged to seek independent professional advice in such situations.

6. Limitation of Liability

6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND ITRADESECURITY.COM HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED.

6.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITRADESECURITY.COM MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITE.

6.3 Any material downloaded or otherwise obtained through the use of the Service is done at each Member's sole discretion and risk and each Member is solely responsible for any damage to its computer system or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by any Member from Itradesecurity.com or through or from the Service shall create any warranty not expressly stated in this Agreement.

6.4 Under no circumstances shall Itradesecurity.com be held liable for an delay or failure or disruption of the Service resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

6.5 Itradesecurity.com shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort or otherwise or any other damages resulting from any of the following:

• the use or the inability to use the Service;
• any defect in goods, samples, data, information or services purchased or obtained from a Member or a third-party service provider through the Site;
• unauthorized access by third parties to data or private information of any Member;
• statements or conduct of any user of the Site; or
• any other matter relating to the Service however arising, including negligence.

6.6 Notwithstanding any of the foregoing provisions, the aggregate liability of Itradesecurity.com, its employees, agents, affiliates, representatives or anyone acting on its behalf with respect to each Member for all claims arising from the use of the Service or the Site shall be limited. The preceding sentence shall not preclude the requirement by the Member to prove actual damages. All claims arising from the use of the Service must be filed within one (1) year from the date the cause of action arose.

7. Intellectual Property Rights

7.1 Itradesecurity.com is the sole owner or lawful licensee of all the rights to the Service. The Service embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Service shall remain with Itradesecurity.com or its affiliates. All rights not otherwise claimed under this Agreement or by Itradesecurity.com are hereby reserved.

7.2 "ITRADESECURITY", " ITRADESECURITY.COM" and related icons and logos are registered trademarks or trademarks or service marks of ITRADESECURITY, and "VERIFIED" and related icons and logos are registered trademarks or trademarks or service marks of Itradesecurity.com Limited in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

8. General

8.1 This Agreement and the Terms of Use constitute the entire agreement between the Member and Itradesecurity.com with respect to and governs the use of the Service, superseding any prior written or oral agreements in relation to the same subject matter herein.

8.2 Itradesecurity.com and the Member are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

8.3 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

8.4 Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

8.5 Itradesecurity.com's failure to enforce any right or failure to act with respect to any breach by a Member under this Agreement will not waive that right nor waive Itradesecurity.com's right to act with respect with subsequent or similar breaches.

8.6 Itradesecurity.com shall have the right to assign this Agreement (including all of its rights, titles, benefits, interests, and obligations and duties in this Agreement) to any person or entity. (including any affiliates of Itradesecurity.com). The Member may not assign, in whole or part, this Agreement to any person or entity.

8.7 This Agreement shall be governed by the laws of England and Wales without regard to its conflict of law provisions. The parties to this Agreement hereby submit to the exclusive jurisdiction of the courts of England and Wales.

8.8 If there is any conflict between the English version and another language version of this Agreement, the English version shall prevail.

To ensure the integrity of the Sites, Itradesecurity.com requires that our Members should conduct your business affairs with integrity and in an ethical manner when using Itradesecurity.com services.

When a Member subscribes to the supplier service and/or other services of Itradesecurity.com, you agree that you will abide by the relevant service terms of Itradesecurity.com as well as the applicable rules and policies of the Sites (collectively, the “Terms”). These Terms contain the requirements on the part of Members in using the Itradesecurity.com services and Sites.

Each Member should read the Terms carefully and abide by the Terms. This document only provides a highlight on the main requirements under the Terms concerning Members’ conduct and Member should refer to the Terms for the detailed provisions.

1. Itradesecurity.com Terms

1.1 The Terms include the following service terms, product listing, and website rules and policies:

• Itrade Security free membership Agreement;
• Request for quote (RFQ) rules ;
• the Product Listing Policy;
• the Privacy Policy.

Itradesecurity.com may revise any Terms and may publish new Terms, from time to time. The revised and updated Terms will become effective and binding on Members upon being published on a Site.

2. Business Registration Documents

2.1 Itradesecurity.com conducts the Authentication and Verification procedures against Supplier Members as part of our effects to confirm the identity of a paying Member. Itradesecurity.com services are personal to the identified Members. Member should not provide any false or misleading document or information to Itradesecurity.com concerning your business registration and authorization.

2.2 Member may not use another’s business registration document or any false or forged document in your application for Itradesecurity.com service. Neither may Member lend your business registration document to another in the latter’s application for any Itradesecurity.com services.

3. Security of Account

3.1 An account is assigned to each Member for Member’s own use only, and the account is unique to the Member. Member should ensure the confidentiality and safe custody of the account ID and password. Member will be responsible for all activities under the account, and all activities under the account will be considered as under Member’s authorization.

3.2 Member should also take all necessary measures to regulate and monitor the operation of the account by those who you have granted authorization. If an authorized operator leaves your organization, Member should immediately cease his/her access to the account and change the password.

3.3 If Member discovers or is made aware of any irregular activities under your account, you should take immediate actions including changing the password, reporting this to Itradesecurity.com. Itradesecurity.com shall have the right to terminate Member’s account without any liability to Member if Member fails to take appropriate measures in safeguarding the security of your account.

4. No Assignment

4.1 Member may not assign the account or any Itradesecurity.com services to a third party without Itradesecurity.com’s prior written consent. Permitting a third party to share the use of the Member’s account will be considered as unauthorized assignment and is prohibited by Itradesecurity.com.

5. Rules on Posting Product Listings and Other Content

5.1 Member may publish information about your company, products and other content on the Sites. The general rule is that Member should ensure that all information you post on the Sites is true, accurate and lawful and should not be false or misleading, violate any applicable laws and regulations or infringe any legitimate rights of another party.

5.2 Member should refer to the Product Listing Policy for the detailed guideline on prohibitions and restrictions on posting product listings. Examples of prohibited products include, among others, dangerous drugs, ammunition, indecent items, content which may cause social disorder, products which are fake or counterfeit products or infringe another’s intellectual property rights. Examples of restricted products include, among others, products which may require license or approval from the competent government authorities such as medical instruments, fireworks, etc.

6. Transactions

6.1 Member is obliged to carry on all activities on or through the Sites in compliance with applicable laws and regulations, in particular in your dealings with your business partners through the Sites. Member should also conduct your business affairs with integrity and in an ethical manner. No Member may be involved in any deceitful or fraudulent activities.

6.2 Member is required to honestly and duly perform your contractual obligations with your business partners. Member may not:

• fail to deliver goods to buyers after receipt of buyers’ payments;
• fail to make payments to sellers after receipt of any goods, or
• deliver goods which are in substantial non-conformity with the goods ordered (such as substantial non-conformity in material, specifications, product category, used goods for brand new goods).

6.3 Member may not sell products which are fake or counterfeit products or otherwise infringe another’s intellectual property rights.

7. Breaches

7.1 If Member breaches any of the Terms, Itradesecurity.com may impose penalties against Member. Depending on the seriousness of a breach, Itradesecurity.com may give Member a warning, impose restrictions on posting product listings or on your use of other features or functions of the Itradesecurity.com services, suspend Member’s account, or terminate Member’s account.

7.2 Without limiting Itradesecurity.com’s rights to impose various penalties, Itradesecurity.com will have the right to terminate Member’s account without refund or other liability to Member if Member has committed a breach described in this document.

7.3 Itradesecurity.com may publish the records regarding Member’s breach on the Sites.

This document only provides a highlight on the main requirements under the Terms concerning Members’ conduct and Member should refer to the Terms for the detailed provisions.

By using the ITS Request for Quote (RFQ) service, you agree that you have read, understood, and agreed to be bound by the Terms of Use, Privacy Policy, and Product Listing Policy of Itradesecurity.com (“ITrade Security Rules”) as well as the following terms with regards to your Buying Request:

1. Your Buying Request should be specific and clear. You should not post any request or information irrelevant to the ITS Request for Quote (RFQ) service.

2. You shall not post any materials that are untrue, inaccurate, unlawful, invalid, or in violation of the Product Listing Policy of Itradesecurity.com.

3. To avoid causing any confusion, you should not post repeated ITS Request for Quote (RFQ).

4. System generated emails will be sent to you to facilitate notifications of ITS Request for Quote (RFQ) status and quotation updates pursuant to your request under the ITS Request for Quote (RFQ) . If you no longer wish to receive these emails, you may directly go to your account and cancel the service by closing out your previous request.

5. You undertake that you shall not publish any information or conduct any act whatsoever that infringe the rights of any third party, including but not limited to any intellectual property rights, rights of publicity, rights of personality, rights of privacy, and any other rights of third parties not specifically identified in this clause.

6. In the event that you have violated any of the terms stated above, Itradesecurity.com shall have the right to take any enforcement actions reasonably necessary. Examples of such enforcement actions include but not limited to deleting your posted Buying Request, restricting your rights to post the ITS Request for Quote (RFQ) issuing warnings to you, or terminating your membership agreement with Itradesecurity.com, and etc.

7. You shall not submit any information or materials, in particular during your use of the audio and video submission services of the Itradesecurity.com mobile app, that is/are unlawful in any relevant country or jurisdiction and/or are in breach of any website rules adopted by Itradesecurity.com. In addition, you shall not submit any material that may not be restricted or prohibited by law but are nonetheless controversial, including but not limited to:

• Information that encourage illegal activities;
• Items that are racially, religiously or ethnically derogatory, or that promote hatred, violence, racial or religious intolerance;
• Giveaways, lotteries, raffles, or contests;
• Stocks, bonds, investment interest and other securities;
• Pornographic materials/items that are sexual in nature.

8. Itradesecurity.com reserves the right to match any Request for Quotation (“RFQ”) only with quotations that are deemed to be suitable for the RFQ. Itradesecurity.com also reserves the right to refuse to match any RFQ with quotations that do not meet any criteria as deemed appropriate and required by Itradesecurity.com in its sole discretion. Examples of such quotations include, but are not limited to, quotations for products that do not belong to the supplier’s designated category of products on Itradesecurity.com, quotations that do not correspond to the products, quotations with missing information, quotations for banned and/or restricted products, quotations that infringe any terms and conditions for the use of ITS Request for Quote (RFQ) or any other website rules adopted by Itradesecurity.com, and etc.

9. You acknowledge and agree that Itradesecurity.com may provide your contact information, including but not limited your contact name,email address, telephone, mobile phone and fax,to suppliers for them to contact you for further business opportunities.

10. You acknowledge and agree that Itradesecurity.com may use your membership information, including but not limited to your company profile, profile pictures, transaction history, contact person information, and etc., to market and promote ITradesecurity and also to support and operate the various programs and services of ITradesecurity offered to members from time to time.

11. You acknowledge and agree that Itradesecurity.com may use your product listings and related information, including but not limited to your product pictures, product listings, product specifications, and etc., to support and operate various programs, services, marketing initiatives, and other services offered by ITS Request for Quote (RFQ) to members from time to time.

Welcome to www.itradesecurity.com. These Terms of Use describe the terms and conditions applicable to your access and use of the websites at www. itradesecurity.com ( “Site”). 1.4 If itradesecurity.com has posted or provided a translation of the English language version of the Terms, you agree that the translation is provided for convenience only and that the English language version will govern your uses of the Services or the Sites.

1.5 You may be required to enter into a separate agreement, whether online or offline, with itradesecurity.com or our affiliate for any Service (“Additional Agreements”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service concerned.

1.6 The Terms may not otherwise be modified except in writing by an authorized officer of itradesecurity.com.

2. Provision of Services

2.1 The itradesecurity.com contracting entity that you are contracting with is itrade Security Limited.

2.2 You must register as a member on the Sites in order to access and use some Services. Further, itradesecurity.com reserves the right, without prior notice, to restrict access to or use of certain Services (or any features within the Services) to paying Users or subject to other conditions that itradesecurity.com may impose in our discretion.

2.3 Services (or any features within the Services) may vary for different regions and countries. No warranty or representation is given that a particular Service or feature or function thereof or the same type and extent of the Service or features and functions thereof will be available for Users. itradesecurity.com may in our sole discretion limit, deny or create different level of access to and use of any Services (or any features within the Services) with respect to different Users.

2.4 itradesecurity.com may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the paying Users in enjoying that Service.

2.5 Some Services may be provided by itradesecurity.com’s affiliates on behalf of itradesecurity.com.

3. Users Generally

3.1 As a condition of your access to and use of the Sites or Services, you agree that you will comply with all applicable laws and regulations when using the Sites or Services.

3.2 You agree to use the Sites or Services solely for your own private and internal purposes. You agree that (a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Services or any information, text, images, graphics, video clips, sound, directories, files, databases or listings, etc available on or through the Sites (the “Site Content”), and (b) you will not copy, reproduce, download, compile or otherwise use any Site Content for the purposes of operating a business that competes with itradesecurity.com, or otherwise commercially exploiting the Site Content. 3.3 You must read itradesecurity.com’s Privacy Policy which governs the protection and use of personal information about Users in the possession of itradesecurity.com and our affiliates. You accept the terms of the Privacy Policy and agree to the use of the personal information about you in accordance with the Privacy Policy.

3.4 itradesecurity.com may allow Users to access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise), API or otherwise to such third parties' web sites. You are cautioned to read such web sites' terms and conditions and/or privacy policies before using the Sites. You acknowledge that Itradesecurity.com has no control over such third parties' web sites, does not monitor such web sites, and shall not be responsible or liable to anyone for such web sites, or any content, products or services made available on such web sites.

3.5 You agree not to undertake any action to undermine the integrity of the computer systems or networks of itradesecurity.com and/or any other User nor to gain unauthorized access to such computer systems or networks.

3.6 You agree not to undertake any action which may undermine the integrity of itradesecurity.com’s feedback system, such as leaving positive feedback for yourself using secondary Member IDs or through third parties or by leaving unsubstantiated negative feedback for another User.

3.7 By posting or displaying any information, content or material (“User Content”) on the Sites or providing any User Content to itradesecurity.com or our representative(s), you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable (through multiple tiers) license to itradesecurity.com to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, translate, create derivative works, and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner and for any purpose which may be beneficial to the operation of the Sites, the provision of any Services and/or the business of the User. You confirm and warrant to itradesecurity.com that you have all the rights, power and authority necessary to grant the above license.

4. Member Accounts

4.1 User must be registered on the Sites to access or use some Services (a registered User is also referred to as a “Member” below). Except with itradesecurity.com’s approval, one User may only register one member account on the Sites. itradesecurity.com may cancel or terminate a User’s member account if itradesecurity.com has reasons to suspect that the User has concurrently registered or controlled two or more member accounts. Further, Itradesecurity.com may reject User’s application for registration for any reason.

4.2 Upon registration on the Sites, itradesecurity.com shall assign an account and issue a member ID and password (the latter shall be chosen by a registered User during registration) to each registered User. An account may have a web-based email account with limited storage space for the Member to send or receive emails.

4.3 A set of Member ID and password is unique to a single account. Each Member shall be solely responsible for maintaining the confidentiality and security of your Member ID and password and for all activities that occur under your account. No Member may share, assign, or permit the use of your Member account, ID or password by another person outside of the Member’s own business entity. Member agrees to notify itradesecurity.com immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.

4.4 Member agrees that all activities that occur under your account (including without limitation, posting any company or product information, clicking to accept any Additional Agreements or rules, subscribing to or making any payment for any services, sending emails using the email account or sending SMS) will be deemed to have been authorized by the Member.

4.5 Member acknowledges that sharing of your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, "multiple use"), may cause irreparable harm to itradesecurity.com or other Users of the Sites. Member shall indemnify itradesecurity.com, our affiliates, directors, employees, agents and representatives against any loss or damages (including but not limited to loss of profits) suffered as a result of the multiple use of your account. Member also agrees that in case of the multiple use of your account or Member’s failure to maintain the security of your account, itradesecurity.com shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate Member’s account without liability to Member.

5. Member’s Responsibilities

5.1 Each Member represents, warrants and agrees that (a) you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder; (b) you use the Sites and Services for business purposes only; and (c) the address you provide when registering is the principal place of business of your business entity. For purposes of this provision, a branch or liaison office will not be considered a separate entity and your principal place of business will be deemed to be that of your head office.

5.2 Member will be required to provide information or material about your entity, business or products/services as part of the registration process on the Sites or your use of any Service or the member account. Each Member represents, warrants and agrees that (a) such information and material whether submitted during the registration process or thereafter throughout the continuation of the use of the Sites or Service is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.

5.3 Upon becoming a Member, you consent to the inclusion of the contact information about you in our Buyer Database and authorize itradesecurity.com and our affiliates to share the contact information with other Users or otherwise use your personal information in accordance with the Privacy Policy.

5.4 Each Member represents, warrants and agrees that (a) you shall be solely responsible for obtaining all necessary third party licenses and permissions regarding any User Content that you submit, post or display; (b) any User Content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party (“Third Party Rights”); and (c) you have the right and authority to sell, trade, distribute or export or offer to sell, trade, distribute or export the products or services described in the User Content and such sale, trade, distribution or export or offer does not violate any Third Party Rights.

5.5 Each Member further represents, warrants and agrees that the User Content that you submit, post or display shall:

• be true, accurate, complete and lawful;
• not be false, misleading or deceptive;
• not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors;
• not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• not violate the Product Listing Policy, other Terms or any applicable Additional Agreements
• not violate any applicable laws and regulations (including without limitation those governing export control, consumer protection, unfair competition, or false advertising) or promote any activities which may violate any applicable laws and regulations;
• not contain any link directly or indirectly to any other web Sites which includes any content that may violate the Terms.

5.6 Each Member further represents, warrants and agrees that you shall:

• carry on your activities on the Sites in compliance with any applicable laws and regulations;
• conduct your business transactions with other users of the Sites in good faith;
• carry on your activities in accordance with the Terms and any applicable Additional Agreements;
• not use the Services or Sites to defraud any person or entity (including without limitation sale of stolen items, use of stolen credit/debit cards);
• not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;
• not engage in spamming or phishing;
• not engage in any other unlawful activities (including without limitation those which would constitute a criminal offence, give rise to civil liability, etc) or encourage or abet any unlawful activities;
• not involve attempts to copy, reproduce, exploit or expropriate itradesecurity.com’s various proprietary directories, databases and listings;
• not involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;
• not involve any scheme to undermine the integrity of the data, systems or networks used by itradesecurity.com and/or any user of the Sites or gain unauthorized access to such data, systems or networks;
• not engage in any activities that would otherwise create any liability for itradesecurity.com or our affiliates.

5.7 Member may not use the Services and member account to engage in activities which are identical or similar to itradesecurity.com’s e-commerce marketplace business.

5.8 If Member provides a business referee, Member represents, warrants and agrees that you have obtained all necessary consents, approvals and waivers from your business partners and associates to (a) act as your business referee; (b) post and publish their contact details and information, reference letters and comments on their behalf; and (c) that third parties may contact such business referees to support claims or statements made about you. You further warrant and agree that all reference letters and comments are true and accurate and third parties may contact the business referees without the need to obtain your consent.

5.9 Member agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for itradesecurity.com’s provision of the Services, evaluating whether Member has breached the Terms and/or handling any complaint against the Member. If Member’s failure to do so results in delay in, or suspension or termination of, the provision of any Service, Itradesecurity.com shall not be obliged to extend the relevant service period nor shall be liable for any loss or damages arising from such delay, suspension or termination.

5.10 Member acknowledges and agrees that itradesecurity.com shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through the Services or Sites. itradesecurity.com does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Member. Each Member is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

5.11 Member acknowledges and agrees that the Services may only be used by businesses and their representatives for business use and not for individual consumers or for personal use.

5.12 Member acknowledges and agrees that each Member is solely responsible for observing applicable laws and regulations in its respective jurisdictions to ensure that all use of the Site and Services are in compliance with the same.

6. Breaches by Members

6.1 itradesecurity.com reserves the right in our sole discretion to remove, modify or reject any User Content that you submit to, post or display on the Sites which we reasonably believe is unlawful, violates the Terms, could subject itradesecurity.com or our affiliates to liability, or is otherwise found inappropriate in itradesecurity.com’s opinion.

6.2 If any Member breaches any Terms or if itradesecurity.com has reasonable grounds to believe that any Member is in breach of any the Terms, itradesecurity.com shall have the right to impose a penalty against the Member, or suspend or terminate the Member’s account or subscription of any Service without any liability to the Member. itradesecurity.com shall also have the right to restrict, refuse or ban any and all current or future use of any other Service that may be provided by itradesecurity.com. The penalties that itradesecurity.com may impose include, among others, warning, removing any product listing or other User Content that the Member has submitted, posted or displayed, imposing restrictions on the number of product listings that the Member may post or display, or imposing restrictions on the Member’s use of any features or functions of any Service for such period as Itradesecurity.com may consider appropriate in our sole discretion.

6.3 Without limiting the generality of the provisions of the Terms, a Member would be considered as being in breach of the Terms in any of the following circumstances:

• upon complaint or claim from any third party, itradesecurity.com has reasonable grounds to believe that such Member has willfully or materially failed to perform your contract with such third party including without limitation where the Member has failed to deliver any items ordered by such third party after receipt of the purchase price, or where the items Member has delivered materially fail to meet the terms and descriptions outlined in your contract with such third party,
• itradesecurity.com has reasonable grounds to suspect that such Member has used a stolen credit card or other false or misleading information in any transaction with a counter party,
• itradesecurity.com has reasonable grounds to suspect that any information provided by the Member is not current or complete or is untrue, inaccurate, or misleading, or
• itradesecurity.com believes that the Member’s actions may cause financial loss or legal liability to itradesecurity.com or our affiliates or any other Users.

6.4 itradesecurity.com reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, itradesecurity.com may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action. itradesecurity.com shall not be liable for damages or results arising from such disclosure, and Member agrees not to bring any action or claim against itradesecurity.com for such disclosure.

6.5 If a Member is in breach of the Terms, itradesecurity.com also reserves the right to publish the records of such breach on the Sites. If such breach involves or is reasonably suspected of involving dishonest or fraudulent activities, itradesecurity.com also reserves the right to disclose the records of such breach to our affiliates including without limitation. Such itradesecurity.com affiliates may impose limitation on, suspend or terminate the Member’s use of all or part of the services provided by such affiliates to the Member, take other remedial actions, and publish the records about the Member’s breach of the Terms on the websites operated by or controlled by such itradesecurity.com affiliates.

6.6 itradesecurity.com may, at any time and in our reasonable discretion, impose limitations on, suspend or terminate the Member’s use of any Service or the Sites without being liable to the Member if itradesecurity.com has received notice that the Member is in breach of any agreement or undertaking with any affiliate of itradesecurity.com including without limitation and such breach involves or is reasonably suspected of involving dishonest or fraudulent activities. itradesecurity.com shall have the right to publish the records of such breach on the Sites. itradesecurity.com shall not be required to investigate such breach or request confirmation from the Member.

6.7 Each Member agrees to indemnify itradesecurity.com, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your submission, posting or display of any User Content, from your use of the Sites or Services, or from your breach of the Terms.

6.8 Each Member further agrees that itradesecurity.com is not responsible, and shall have no liability to you or anyone else for any User Content or other material transmitted over the Sites, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member. itradesecurity.com reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with itradesecurity.com in asserting any available defenses.

7. Transactions Between Buyers and Sellers

7.1 Through the Sites, itradesecurity.com provides electronic web-based platforms for exchanging information between buyers and sellers of products and services. itradesecurity.com additionally provides electronic web-based transaction platforms for Members to place, accept, conclude, manage and fulfill orders for the provision of products and services online within the Sites subject to the terms of the itradesecurity.com Transaction Services Agreement. However, for any Services, itradesecurity.com does not represent either the seller or the buyer in specific transactions. itradesecurity.com does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Sites or the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.

7.2 Users are hereby made aware that there may be risks of dealing with people acting under false pretences. itradesecurity.com uses several techniques to verify the accuracy of certain information our paying Users provide us when they register for a paying membership service on the Sites. However, because user verification on the Internet is difficult, itradesecurity.com cannot and does not confirm each User's purported identity (including, without limitation, paying Members). We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing.

7.3 Each User acknowledges that it is fully assuming the risks of conducting any purchase and sale transactions in connection with using the Sites or Services, and that it is fully assuming the risks of liability or harm of any kind in connection with subsequent activity of any kind relating to products or services that are the subject of transactions using the Sites.

Such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents. Such risks also include the risks that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites may violate or may be asserted to violate Third Party Rights, and the risk that User may incur costs of defense or other costs in connection with third parties’ assertion of Third Party Rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants. Such risks also include the risks that consumers, other purchasers, end-users of products or others claiming to have suffered injuries or harms relating to products originally obtained by Users of the Sites as a result of purchase and sale transactions in connection with using the Sites may suffer harms and/or assert claims arising from their use of such products. All of the foregoing risks are hereafter referred to as "Transaction Risks". Each User agrees that itradesecurity.com shall not be liable or responsible for any damages, claims, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

7.4 Users are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Sites or Services, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

7.5 User agrees to provide all information and materials as may be reasonably required by itradesecurity.com in connection with your transactions conducted on, through or as a result of use of the Sites or Services. itradesecurity.com has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials.

7.6 In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify itradesecurity.com (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

8. Limitation of Liability

8.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES PROVIDED BY ITRADESECURITY.COM ON OR THROUGH THE SITES ARE PROVIDED "AS IS", "AS AVAILABLE" AND “WITH ALL FAULTS”, AND ITRADESECURITY.COM HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, AND UNDERTAKINGS ARE HEREBY EXCLUDED.

8.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITRADESECURITY.COM MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITES; ITRADESECURITY.COM DOES NOT REPRESENT OR WARRANT THAT THE MANUFACTURE, IMPORTATION, EXPORT, DISTRIBUTION, OFFER, DISPLAY, PURCHASE, SALE AND/OR USE OF PRODUCTS OR SERVICES OFFERED OR DISPLAYED ON THE SITES DOES NOT VIOLATE ANY THIRD PARTY RIGHTS; AND ITRADESECURITY.COM MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING ANY PRODUCT OR SERVICE OFFERED OR DISPLAYED ON THE SITES.

8.3 Any material downloaded or otherwise obtained through the Sites is done at each User's sole discretion and risk and each User is solely responsible for any damage to itradesecurity.com’s computer system or loss of data that may result from the download of any such material. No advice or information, whether oral or written, obtained by any User from itradesecurity.com or through or from the Sites shall create any warranty not expressly stated herein.

8.4 The Sites may make available to User services or products provided by independent third parties. No warranty or representation is made with regard to such services or products. In no event shall itradesecurity.com and our affiliates be held liable for any such services or products.

8.5 Each User hereby agrees to indemnify and save itradesecurity.com, our affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such User's use of the Sites or Services (including but not limited to the display of such User's information on the Sites) or from your breach of any of the terms and conditions of the Terms. Each User hereby further agrees to indemnify and save Itradesecurity.com, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise from User's breach of any representations and warranties made by User to itradesecurity.com, including but not limited to those set forth in Section 5 hereunder.

8.6 Each User hereby further agrees to indemnify and save itradesecurity.com, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to products offered or displayed on the Sites. Each User hereby further agrees that itradesecurity.com is not responsible and shall have no liability to you, for any material posted by others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. itradesecurity.com reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with itradesecurity.com in asserting any available defenses.

8.7 Itradesecurity.com shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise or any other damages resulting from any of the following.

• the use or the inability to use the Sites or Services;
• any defect in goods, samples, data, information or services purchased or obtained from a User or any other third party through the Sites;
• violation of Third Party Rights or claims or demands that User's manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites may violate or may be asserted to violate Third Party Rights; or claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants;
• unauthorized access by third parties to data or private information of any User;
• statements or conduct of any User of the Sites; or;
• any matters relating to Services however arising, including negligence.

8.8 Notwithstanding any of the foregoing provisions, the aggregate liability of itradesecurity.com, our employees, agents, affiliates, representatives or anyone acting on our behalf with respect to each User for all claims arising from the use of the Sites or Services during any calendar year shall be limited to the greater of (a) the amount of fees the User has paid to itradesecurity.com or our affiliates during the calendar year and (b) £500. The preceding sentence shall not preclude the requirement by the User to prove actual damages. All claims arising from the use of the Sites or Services must be filed within one (1) year from the date the cause of action arose.

8.9 The limitations and exclusions of liability to you under the Terms shall apply to the maximum extent permitted by law and shall apply whether or not itradesecurity.com has been advised of or should have been aware of the possibility of any such losses arising.

9. Force Majeure

9.1 Under no circumstances shall itradesecurity.com be held liable for any delay or failure or disruption of the content or services delivered through the Sites resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

10. Intellectual Property Rights

10.1 itradesecurity.com is the sole owner or lawful licensee of all the rights and interests in the Sites and the Site Content. The Sites and Site Content embody trade secrets and other intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Sites and Site Content shall remain with itradesecurity.com, our affiliates or licensors of the Site Content, as the case may be. All rights not otherwise claimed under the Terms or by itradesecurity.com are hereby reserved.

10.2 " itradesecurity ", " itradesecurity.com", “ITrade Security” and related icons and logos are registered trademarks or trademarks or service marks of itradesecurity, and “VERIFIED SUPPLIER” and related icons and logos are registered trademarks or trademarks or service marks of itradesecurity, in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

10.3 itradesecurity.com may have independent third parties involved in the provision of the Services (e.g., the authentication and verification service providers). You may not use any trademark, service mark or logo of such independent third parties without prior written approval from such parties.

11. Notices

11.1 All legal notices or demands to or upon itradesecurity.com shall be made in writing and sent to itradesecurity.com personally, by courier, certified mail, or facsimile to the following address: 2nd Floor, Berkeley Square House, Berkeley Square, London W1J 6BD, United Kingdom, Attn: Legal Department. The notices shall be effective when they are received by itradesecurity.com in any of the above-mentioned manner.

11.2 All legal notices or demands to or upon a User shall be effective if either delivered personally, sent by courier, certified mail, by facsimile or email to the last-known correspondence, fax or email address provided by the User to itradesecurity.com, or by posting such notice or demand on an area of the Sites that is publicly accessible without a charge. Notice to a User shall be deemed to be received by such User if and when.

• itradesecurity.com is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User, or
• immediately upon itradesecurity.com posting such notice on an area of the Sites that is publicly accessible without charge.

11.3 You agree that all agreements, notices, demands, disclosures and other communications that itradesecurity.com sends to you electronically satisfy the legal requirement that such communication should be in writing.

12. General Provisions

12.1 Subject to any Additional Agreements, the Terms constitute the entire agreement between you and itradesecurity.com with respect to and govern your use of the Sites and Services, superseding any prior written or oral agreements in relation to the same subject matter herein.

12.2 itradesecurity.com and you are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by the Terms.

12.3 If any provision of the Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain valid and be enforced.

12.4 Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

12.5 itradesecurity.com’s failure to enforce any right or failure to act with respect to any breach by you under the Terms will not constitute a waiver of that right nor a waiver of itradesecurity.com’s right to act with respect to subsequent or similar breaches.

12.6 itradesecurity.com shall have the right to assign the Terms (including all of our rights, titles, benefits, interests, and obligations and duties in the Terms to any person or entity (including any affiliates of itradesecurity.com). You may not assign, in whole or part, the Terms to any person or entity.

12.7 The Terms shall be governed by the laws of England and Wales without regard to its conflict of law provisions. The parties to the Terms hereby submit to the exclusive jurisdiction of the courts of England and Wales.

ITrade Security is electronic commerce platform is predominantly used by business entities to facilitate electronic commerce and such business use does not generally involve the collection of personal information of individuals. ITrade Security recognises the importance of privacy as well as the importance of maintaining the confidentiality of personal information. This Privacy Policy applies to all products and services provided by us and sets out how we may collect, use and disclose information in relation to users of the Sites.

You may use our services and products via a mobile device either through mobile applications or mobile optimized websites. This Privacy Policy also applies to such use of our services and products.

All capitalized terms not defined in this document shall have the meanings ascribed to them in the Terms of Use of the Site, which can be found here.

A. COLLECTION OF INFORMATION

1. Your privacy is important to us and we have taken steps to ensure that we do not collect more information from you than is necessary for us to provide you with our services and to protect your account.

2. Information including, but not limited to, user name, address, phone number, fax number and email address ("Registration Information") may be collected at the time of user registration on the Sites.

In connection with any transaction and escrow services or services under our buyer protection schemes we provide on the Sites, information, including but not limited to, bank account numbers, billing and delivery information, credit/debit card numbers and expiration dates and tracking information from cheques or money orders ("Account Information") may be collected to, among other things, facilitate the sale and purchase as well as the settlement of purchase price of the products or services transacted on or procured through the Sites.

4. We record and retain details of users’ activities on the Sites. Information relating to such transactions including, but not limited to, the types and specifications of the goods, pricing and delivery information and any trade dispute records (“Activities Information”) may be collected when sale and purchase transactions are conducted on or facilitated through the Sites.

5. From time to time, we collect information about our users and prospective users during trade shows, industry events and other functions. The information we may collect at these locations may include, but is not limited to, user name, address, phone number, fax number and email address ("Event Information").

6. We record and retain records of users' buying and browsing activities on our platform including but not limited to IP addresses, browsing patterns and buyer behavioural patterns. In addition, we gather statistical information about the Sites and visitors to the Sites including, but not limited to, IP addresses, browser software, operating system, software and hardware attributes, pages viewed, number of sessions and unique visitors (together "Browsing Information").

7. Registration Information, Account Information, Activities Information, Event Information and Browing Information generally relate to business entities and are together referred to as business data (“Business Data”). Insofar and only insofar as they constitute personally identifiable data of living individuals, such information are together referred to as personal data (“Personal Data”).

8. if you voluntarily submit any information to the Sites for publication on the Sites through the publishing tools, including but not limited to, Company Profile, Product Catalogue, Trade Leads - then you are deemed to have given consent to the publication of such information on the Sites ("Voluntary Information");

9. making such disclosures as may be required for any of the above purposes oras required by law or in respect of any claims or potential claims brought against us.

C. DISCLOSURE OF PERSONAL DATA

1. You further agree that we may disclose and transfer (whetherwithin or outside the jurisdiction of the ITrade Security entity that you are contracting with) your Personal Data to service providers engaged by us to assist us with providing you with our services (including but not limited to data entry, database management, promotions, products and services alerts, delivery services, payment extension services, and membership authentification and verification services) ("Service Providers"). These Service Providers are under a duty of confidentiality to us and are only permitted to use your Personal Data in connection with the purposes specified at B.1 to B.9 above, and not for their own purposes (including direct marketing).

2. You agree that we may disclose and transfer (whether within or outside the jurisdiction of the ITrade Security entity that you are contracting with), for the purposes specified at B.1 to B.9 above, your Personal Data to other affiliated companies within the ITrade Security, which comprises a group of companies operating leading online and mobile marketplaces in consumer and business-to-business commerce, as well as cloud computing and other services.

3. When necessary we may also disclose and transfer (whether within or outside the jurisdiction of the ITrade Security entity that you are contracting with) your Personal Data to our professional advisers, law enforcement agencies, insurers, government and regulatory and other organisations for the purposes specified at B.9 above.

4. Any Personal Data supplied by you will be retained by us and will be accessible by our employees, any Service Providers engaged by us and third parties referred to at C.2 and C.3 above, for or in relation to any of the purposes stated in B.1 to B.9 above.

5. All Voluntary Information may be made publicly available on the Sites and therefore accessible by any internet user. Any Voluntary Information that you disclose to us becomes public information and you relinquish any proprietary rights (including but not limited to the rights of confidentiality and copyright) in such information. You should exercise caution when deciding to include personal or proprietary information in the Voluntary Information that you submit to us.

6. We may share your Account Information with banks or vendors to enable your transactions on the Sites to be completed. In addition, we may use your Account Information to determine your credit-worthiness and, in the process of such determination, we may need to make such Account Information available to banks or credit agencies.
